Terms of Service

LeadFrog is a SaaS platform that integrates with Instagram Business accounts via the Meta Graph API to capture, AI-classify, and manage leads from Instagram comments. Features include AI-powered comment classification, auto-reply, auto direct messaging, lead CRM and pipeline management, WhatsApp hot lead alerts, and optional website visitor analytics.

We reserve the right to modify, suspend, add, or discontinue any feature or aspect of the Service at any time, with or without notice, subject to the limitations set out in Section 6. We are not liable for any modification, suspension, or discontinuation of any feature.

• You must be at least 18 years of age to use the Service.
• You must own, or have been granted administrative authority over, the Instagram Business or Creator account you connect to LeadFrog.
• You must have the legal authority to enter into this agreement on behalf of yourself or your organisation.
• By using the Service, you represent and warrant that you meet all of the above conditions.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@leadfrog.in if you suspect any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

You may not share your account with any third party. Each account is for a single user or business entity only.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your subscription period, solely for your internal business purposes.

You may not: (a) sublicense, resell, or transfer the Service to a third party; (b) reverse-engineer, decompile, or attempt to extract source code; (c) use the Service to build a competing product; (d) use automated means to access the Service beyond its published APIs.

5.1 Our IP

LeadFrog, its AI classification engine, dashboard, analytics scripts, and all underlying technology are the exclusive intellectual property of Ziwiz Technologies Private Limited. Nothing in these Terms transfers any IP rights to you.

5.2 Your Content

You retain all ownership rights in your account data, including your lead records, pipeline notes, and preferences ("Your Content"). You grant us a worldwide, royalty-free, sublicensable licence to host, store, process, transmit, and display Your Content solely to provide and operate the Service.

5.3 AI Training & Service Improvement Licence

You further grant us a worldwide, perpetual, royalty-free licence to use anonymised and aggregated versions of comment text and classification signals processed through the Service to train, validate, and improve our AI models and classification accuracy. Prior to any such use, all personally identifiable information — including commenter usernames, IDs, profile data, and your account information — is stripped. This licence survives termination of your account.

5.4 Aggregate Analytics

We may compile and publish aggregate, de-identified statistics and benchmarks derived from usage of the Service (e.g. average lead conversion rates by industry, comment engagement patterns) for marketing, research, investor materials, and industry reports. Such data will never identify you or your followers individually.

5.5 Case Studies & Testimonials

By using the Service, you consent to Ziwiz referencing your business name and general use case in marketing materials, case studies, and investor presentations, unless you notify us in writing at support@leadfrog.in that you opt out of such use. We will not disclose confidential metrics without your separate written consent.

6.1 Plans & Fees

LeadFrog offers subscription plans as described on our Pricing page. All fees are in Indian Rupees (INR) unless otherwise stated. Prices are exclusive of any applicable taxes (GST or otherwise), which will be added at checkout.

6.2 Billing & Auto-Renewal

Paid subscriptions are billed in advance on a monthly or annual cycle. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorise us to charge your payment method on a recurring basis. We will send a reminder email 7 days before annual renewal.

6.3 Cancellation

You may cancel your subscription at any time. Monthly plans: cancellation takes effect at the end of the current billing period; no partial refunds. Annual plans: cancellation takes effect at the end of the current annual term; no refunds after 7 days from the initial purchase or renewal date.

6.4 Plan Changes

Upgrades take effect immediately with prorated billing. Downgrades take effect at the next billing cycle. If a downgrade causes your usage to exceed the new plan limits, excess data will be read-only until you reduce usage or upgrade.

6.5 Price Changes

We reserve the right to change pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' notice by email.

6.6 Feature Limits

Lead limits, API call limits, and feature availability are determined by your active subscription plan. We reserve the right to adjust plan limits and features with 30 days' notice. Features currently available on lower-tier plans may be moved to higher-tier plans with such notice.

You agree not to use the Service to:

• Send unsolicited bulk messages, spam, or harassing communications to Instagram users.
• Violate Meta's Platform Terms, Instagram Community Guidelines, or any applicable law.
• Collect, store, or process personal data beyond what is necessary for your legitimate business purposes as permitted by applicable data protection law.
• Impersonate any person or entity, or make misleading statements about your affiliation with any person or entity.
• Engage in any activity that disrupts, damages, or impairs the Service or its infrastructure.
• Use the Service in any way that could expose Ziwiz or its users to legal liability.

We reserve the right to suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated this section.

LeadFrog integrates with Meta's Graph API. Your use of any Instagram-connected features is subject to Meta's Platform Terms (developers.facebook.com/terms) and Instagram's Community Guidelines. You are solely responsible for ensuring that your use of auto-reply and auto-DM features complies with Meta's messaging and spam policies.

LeadFrog is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. If Meta revokes our API access or changes its platform policies in a way that affects the Service, we will not be liable for any resulting service disruption.

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

You are responsible for ensuring that your use of the Service — including your collection and processing of data belonging to your Instagram followers and commenters — complies with all applicable data protection laws (including India's DPDP Act 2023, GDPR where applicable, and any other relevant regulation).

You agree to indemnify, defend, and hold harmless Ziwiz Technologies Private Limited, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of Meta's Platform Terms or any applicable law; (d) your processing of third-party personal data using the Service; or (e) any content you post, reply, or send through the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We specifically do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• AI classifications will be accurate or suitable for any particular business decision.
• Auto-replies or auto-DMs will always be delivered (subject to Meta API rate limits, Instagram restrictions, and platform availability).
• The Service will be compatible with any future version of Meta's API.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIWIZ TECHNOLOGIES PRIVATE LIMITED'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) INR 500.

IN NO EVENT SHALL ZIWIZ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to: Meta Platform API outages, changes to Meta's platform policies, acts of God, natural disasters, war, civil unrest, government actions, internet service disruptions, or third-party infrastructure failures (including Supabase or Vercel outages).

You may terminate your account at any time by deleting it from Settings or by contacting support@leadfrog.in. Upon termination, your data will be deleted per our Data Deletion Policy.

We may suspend or permanently terminate your account immediately and without prior notice if: (a) you breach these Terms; (b) you violate Meta's Platform Policies; (c) we are required to do so by law; or (d) we reasonably believe your use poses a risk to the Service, other users, or third parties. No refund will be issued upon termination for cause.

In the event of any dispute arising out of or in connection with these Terms or the Service, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in India under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, Karnataka. The arbitration shall be conducted in English by a single arbitrator agreed upon by the parties.

Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent imminent harm.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to Section 15, any disputes not resolved by arbitration shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

We may modify these Terms at any time. For material changes, we will provide at least 14 days' advance notice by email or prominent in-app notification. Non-material changes (such as typographical corrections or clarifications that do not reduce your rights) may be made without notice. Continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ziwiz regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger or acquisition.
• No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Ziwiz.
